The promoter of the Nursing Scholarship Giveaway (the “Giveaway”) is Health Carousel, LLC, having its registered office at 4000 Smith Road, Suite 410, Cincinnati, OH 45209 (“Health Carousel”). 

The Giveaway is open to individuals who: (i) register for Health Carousel Nursing Careers Week and express interest in the scholarship via the Nursing Careers Week sign-up form; (ii) submit the emailed application with all required information no later than the deadline listed in Section 2 of the Recitals; (iii) are a Registered Nurse (and show proof of such) and have passed the NCLEX on the date of entry; and (iv) have reached the age of majority, at the time of their entering this Giveaway, in the state/country where they reside, (together, “Entrants”). The winners in this Giveaway must meet these eligibility requirements to receive the prize. There is no entry fee and no purchase necessary to enter this Giveaway.

By entering this Giveaway, an entrant is indicating his/her agreement to be bound by these terms and conditions (the “Terms”).

Recitals

1. Entrants will receive one (1) entry upon successful submission of the scholarship application. 

2. Entries may be submitted beginning on September 1, 2025 and ending on November 9, 2025 at 11:59 PM (EST). After this date the no further entries to the Giveaway will be permitted.

3. Health Carousel shall have no responsibility for entries not received, for whatever reason.

4. Health Carousel reserves the right to cancel or amend the Giveaway and these Terms without notice in the event of a catastrophe, war, civil or military disturbance, act of God or any actual or anticipated breach of any applicable law or regulation or any other event outside of Health Carousel’s control.

5. Health Carousel is not responsible for inaccurate prize details supplied to any entrant by any third party connected with this Giveaway. In the event of a conflict between any information supplied by a third party and the information contained in these Terms, these Terms shall govern. 

6. Two (2) prizes will be awarded in this Giveaway. Odds of winning depend on the total number of entries. An Entrant may only win once. Each prize will consist of:
   
   1. Five Thousand US Dollars ($5,000), less any mandatory tax withholding as described in Section 8.
      
   2. The prize is as stated, and no other alternatives will be offered. The prize is not transferable. Prizes are subject to availability, and Health Carousel reserves the right to substitute any prize with another of equivalent value without giving notice.

7. Ten (10) finalists will be selected and announced throughout Nursing Careers Week. The two (2) winners will be selected from the finalists by the Nursing Careers Week Committee Members based on the application submitted no later than November 13, 2025. The winners will be notified by email and/or phone call on November 13, 2025. The winners will also be announced live during the closing webinar of the Nursing Careers Week on November 14, 2025.

8. Participation is void where prohibited. Individuals residing in countries or territories subject to comprehensive U.S. economic sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, Russia, and the Crimea, Donetsk, and Luhansk regions of Ukraine) are not eligible to participate or win. Health Carousel reserves the right to disqualify any entry that would violate applicable U.S. laws or regulations.

9. Each $5,000 prize will be taxed and reported as follows:
   
   1. Employees of Health Carousel: The prize amount will be processed through Health Carousel’s payroll and subject to any applicable federal, state and local income tax withholding, and FICA payroll tax withholding. The employee will receive the prize amount net of any applicable withholdings, in the same manner as regular payroll. The prize will be reported as supplemental wages on the employee’s Form W-2 for the applicable tax year. 
   2. U.S. Based Non-Employee:  The recipient must provide Health Carousel with a completed and signed IRS Form W-9 before the prize is issued. Health Carousel will issue the Prize in full ($5,000) without tax withholding. The prize payment will be reported on a 2025 Form 1099 as non-employee compensation which will be mailed to the recipient on or before January 31, 2026. The recipient is responsible for reporting this payment as taxable income on its 2025 Form 1040 and paying any taxes owed on the prize winnings. 
   3. Outside of U.S. participants: The recipient must provide a completed and signed IRS Form W-8BEN before the Prize is issued. Under U.S. tax law, the prize may be considered U.S. source income subject to tax withholding. Health Carousel may be required to withhold 30% U.S. federal income tax from the prize amount before payment. After any required withholding, if any, the net Prize amount will be remitted to the recipient. If required, the gross prize amount and tax withheld, if any, will be reported to the IRS and the recipient on Form 1042-S for the applicable tax year. The recipient is solely responsible for any additional tax requirements in the U.S. or in their country of residence.

10. Payment of the Prize is subject to all applicable U.S. federal, state, and local laws and regulations, including tax reporting and withholding requirements. The Company reserves the right to require completion of IRS tax forms (e.g., W-9, W-8BEN) and verification of identity prior to payment. If the required documentation is not provided, or if required withholding cannot be determined, the Company may withhold payment of the Prize until compliance is met.

11. If a winner cannot be contacted, chooses to opt out, or does not claim the prize within fourteen (14) calendar days of notification, Health Carousel reserves the right to withdraw the prize from the winner and pick a replacement winner.

12. Health Carousel will notify the winners when and where the prize can be collected and/or collect information pertaining to where the prize should be delivered. Health Carousel shall not be liable for the winner’s failure to collect and/or provide the appropriate information for delivery or for any delivery issues that may arise as a result of the carrier’s negligence or intentional misconduct. 

13. Health Carousel’s decision in respect of all matters to do with the Giveaway will be final and no correspondence will be entered into.

14. By entering this Giveaway, an Entrant is indicating his/her agreement to be bound by these Terms.

15. The Giveaway and these Terms will be governed by Ohio law and any disputes will be subject to the exclusive jurisdiction of the courts of Hamilton County, Ohio. 

16. By entering this Giveaway, an Entrant is consenting to Health Carousel’s utilization of the Entrant’s submitted photo or video, name, likeness, appearance, voice or other personal characteristics, in any medium or format, in connection with the marketing, sales, educational, promotional and/or other endeavors of Health Carousel. In addition, Entrant agrees to allow Health Carousel to digitize, modify, alter, edit or adapt any image, video or recording as necessary.

The Raffle is open to individuals who: (i) Register for, and attend, at least one (1) webinar event during the Health Carousel Nursing Careers Week; (ii) are a registered nurse; and (iii) have reached the age of majority, at the time of their entering this Raffle, in the state/country where they reside, (together, “Entrants”). The winner in this Raffle must meet these eligibility requirements to receive the prize. There is no entry fee and no purchase necessary to enter this Raffle.

7. A winner may only win once. Each winner will be chosen at random from all entries received and verified by Health Carousel and/or its agents for each individual webinar session. Health Carousel will verify all requirements for entry, including, but not limited to, attendance of the webinar session and verification of the winner’s status as a registered nurse.

8. Each winner will be announced during the daily webinar and the winner will be notified by email within twenty-four (24) hours of the end of the applicable webinar session. If the winner cannot be contacted or does not claim the prize within five (5) calendar days of notification, Health Carousel reserves the right to withdraw the prize from the winner and pick a replacement winner.

2. U.S. Based Non-Employee: Form 1099 reporting is not required, as the prize value is under the $600 reporting threshold.

Any cash or non-cash prize may be considered U.S. source income subject to tax withholding. Health Carousel may be required to withhold 30% U.S. federal income tax from the prize amount before payment. If required, Health Carousel may“gross up” the value of the non-cash prize and pay cash to the taxing authorities to cover any taxes owed on the recipient's behalf.  If required, the “grossed up” prize amount and tax withheld, if any, will be reported to the IRS and the recipient on Form 1042-S for the applicable tax year. The recipient is solely responsible for any additional tax requirements in the U.S. or in their country of residence.
